University of Oregon has an exclusive contract with Fanatics Licensing Management (FLM) to award and manage all licenses to manufacturers interested in making UO branded products. FLM is a member of both the FLA and WRC. FLM reports that 80% of UO licensees are FLA member organizations.

Government Approvals; Compliance. Licensee shall obtain all approvals and handle all filings required by governments within the
Territory with respect to the performance of this Agreement and the manufacture and sale of the Licensed Products in the Territory,
including, without limitation, any notifications required under law. Licensee shall comply with all applicable laws, rules and regulations
related to the Licensed Products and its performance under this Agreement. Licensee shall comply with the Code of Conduct provided
by FLM in a Schedule A or otherwise in writing, as updated from time to time. Licensee shall take all necessary steps to provide for
compliance by its employees or its other representatives with Licensee's obligations under this Agreement and shall provide FLM, the
Institutions, and authorized representatives with access, at reasonable times, to inspect Licensee's facilities to evaluate the nature and
quality of the services provided and Licensed Products and related materials located therein.
